MINING FUNDING

Purpose: EQUITY CAPITAL & SECURITIES (LONDON) Mining Funding is suitable for all Mining Projects including but not limited to the mining of Iron Ore, Coal, Gold, Copper, Tin, Aluminium, Nickel. EQUITY CAPITAL & SECURITIES (LONDON) Mining Funding can also be utilised for exploration of oil and oil related products but will be subject to specific terms and conditions. Target Assets: Operational Mines. JORC Compliant Resources. Proven Reserves (Drilling done but not JORC Compliant) Opportunities not proven will be considered on a case by case basis. Target Minerals: Gold Coal (Thermal & Coking) Coal Seam Gas Iron Ore Diamonds Copper Manganese Aluminium Base Metal – Copper, Lead, Zinc, Silver Rare Earth – Titanium, Zirconium Bauxite Industrial Minerals Amount: Minimum of USD10m (United States Dollars 10 Million) and up to USD500m (United States Dollars Five Hundred Million). Opportunities below USD10m will be considered on a case by case basis. LVR: Up to 100% of required funding can be raised. Term: 3 years up to 10 years. Equity: EQUITY CAPITAL & SECURITIES (LONDON)'s investment criteria is to acquire majority or substantial equity or a controlling interest in Mining assets. In the event of funding being facilitated for a Mining Asset which EQUITY CAPITAL & SECURITIES (LONDON) is not involved in, an equity position will be negotiated on a case by case basis. Locations: All countries can be considered. Countries currently engaged in war or politically unstable environments will not be suitable. All projects must adhere to local and international environmental, health, safety and social standards as required. Availability: Investment or Funding is available immediately subject to the necessary criteria being met by the client, applicant or partner. Funding Options: Equity, Senior Debt, Subordinated Debt, Bridging or Mezzanine Financing. Collateral Security for Credit Line - In the event that financing has been arranged for the project in the form of a credit line which requires a collateral security, EQUITY CAPITAL & SECURITIES (LONDON) are able to facilitate the issuance of the collateral security so that the credit line can be activated for the project to proceed.

Process:

1. Submit an Executive Summary on the project.

Items to be included are as follows: Description of the project Purpose of the project Cost of the project Project Type - BOO, BOT or PPP. Source of other funds for the project if any. Details of payment instruments or mechanisms or guarantees. Expected duration of the project. Current status of the project. Copy of any Permits, Approvals, Licenses or Leases. Details of the current Principals of the Project. Current Organisational and Ownership Structure. Proposed Contractors, Management or Operations Company. Details of the Applicant, Partner or Entity seeking investment or funding and full contact details of the same.

1. Full Business Plan or Information Memorandum to be submitted.     2. EQUITY CAPITAL & SECURITIES (LONDON) will then work with the Principals to complete Due Diligence and Negotiations.
